By accessing and using Koino ("the App", "the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Koino is an AI-powered financial management and business intelligence application designed for Shopify merchants. The Service provides automated financial analysis, reporting, dashboards, and AI-driven insights to help business owners understand and manage their finances.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration and Security

• You must provide accurate and complete information when creating your account
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these terms

5. Subscription and Billing

• Subscription Fees: The Service is provided on a subscription basis at $299 per month
• Billing: Subscription fees are billed monthly in advance
• Payment: You must provide valid payment information and authorize us to charge your payment method
• Late Payments: Late payments may result in service suspension
• Price Changes: We may change subscription prices with 30 days' notice
• Taxes: You are responsible for any applicable taxes

6. Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• No refunds are provided for partial months or unused portions of the service
• All fees are non-refundable except as required by law
• We may terminate your account for violation of these terms

7. Data and Privacy

• Your use of the Service is subject to our Privacy Policy
• You grant us permission to access and use your Shopify store data as necessary to provide the Service
• We implement industry-standard security measures to protect your data
• You retain ownership of your business data
• We may use aggregated, anonymized data for service improvement

• Violate any laws in your jurisdiction

• Interfere with or disrupt the Service or servers

• We strive to maintain 99.9% uptime but do not guarantee uninterrupted service
• We may perform scheduled maintenance with advance notice when possible
• We are not liable for service interruptions beyond our reasonable control
• The Service is currently in closed alpha and access is by invitation only

• The Service is provided "as is" without warranties of any kind
• We do not warrant that the Service will be error-free or uninterrupted
• We are not responsible for the accuracy of AI-generated insights or recommendations
• You should consult with qualified professionals for financial decisions
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose

12. Limitation of Liability

In no event shall Koino be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Koino and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Service or violation of these terms.
